Cap table generator

Build your company's cap table from the number of shares held by each shareholder, and optionally simulate the effect of a funding round on the ownership breakdown.

Example:
Leave blank if you're not simulating a funding round

How it works

Enter each shareholder with their number of shares to get the ownership breakdown as percentages. You can then simulate a funding round by entering a pre-money valuation and an amount raised: the tool calculates the price per share, the number of new shares issued to the new investor, and the resulting dilution for each existing shareholder.

How is the price per share calculated in a funding round?

The price per share is the pre-money valuation divided by the total number of existing shares before the round. The number of new shares issued to the investor is then obtained by dividing the amount raised by that price per share, and the post-money valuation is the sum of the pre-money valuation and the amount invested.

Why does my ownership percentage drop after the round?

That's the dilution effect: the total number of shares increases with the issuance of new shares to the new investor, so each existing share represents a smaller portion of the total equity, even though the number of shares held by existing shareholders doesn't change.

This calculation is a simplified estimate for informational purposes: it doesn't take into account specific terms (warrants, convertible notes, unallocated option pool, liquidation preferences, etc.) and is no substitute for the advice of an accountant, a business lawyer or a financial advisor before an actual transaction.

The calculation runs entirely in your browser: no data about your shareholders or your company is sent to a server.
